These Subscription Terms and Conditions (the "Agreement") govern your access to and use of the TaxNav software platform and related services (the "Service") provided by MTD Software Limited, a company registered in England and Wales ("TaxNav", "we", "us", or "our").
By registering for an account, clicking "I agree", or otherwise accessing or using the Service, you ("Customer", "you", or "your") agree to be bound by this Agreement. If you are entering into this Agreement on behalf of an organisation, you represent that you have the authority to bind that organisation.
If you do not agree to these terms, you must not access or use the Service.
In this Agreement, the following terms have the meanings set out below:
• "Account" means the unique account created for you to access and use the Service.
• "Authorised User" means any individual permitted by you to access the Service under your Account.
• "Annual Plan" means a subscription that covers a 12-month period, billed upfront in full at the start of each term.
• "Monthly Plan" means a subscription that covers a rolling calendar month, billed at the start of each billing cycle.
• "Confidential Information" means any non-public information disclosed by one party to the other that is marked as confidential or ought reasonably to be understood as confidential.
• "Data Protection Legislation" means the UK GDPR, the Data Protection Act 2018, and any successor or supplementary legislation in force from time to time.
• "HMRC" means His Majesty's Revenue and Customs.
• "MTD IT" means Making Tax Digital for Income Tax as governed by the Finance Act 2021 and associated HMRC regulations.
• "Personal Data" has the meaning given in the UK GDPR.
• "Subscription Fee" means the fee payable by you for access to the Service as set out on our pricing page at taxnav.digital/pricing.
• "Term" means the duration of your subscription as set out in clause 12.
TaxNav is a cloud-based Making Tax Digital for Income Tax (MTD IT) platform recognised by HMRC. The Service enables sole traders, landlords, and accounting practices to manage income and expense records, submit quarterly updates to HMRC, and comply with MTD IT obligations.
The specific features available to you depend on the subscription plan you have selected. We reserve the right to modify, update, or enhance the features of the Service from time to time. We will provide reasonable notice of any material changes that reduce functionality.
Tax and professional advice: The Service is a software tool and does not constitute tax advice, legal advice, or accountancy services. You remain solely responsible for the accuracy and completeness of information submitted to HMRC. We strongly recommend you consult a qualified tax professional if you are uncertain about your obligations.
4.1 Account Creation
To access the Service, you must create an Account by providing accurate and complete registration information. You agree to keep your registration information current and up to date.
4.2 Account Security
You are responsible for maintaining the confidentiality of your Account credentials and for all activity that occurs under your Account. You must notify us immediately at support@taxnav.digital if you become aware of any unauthorised access to or use of your Account.
4.3 Authorised Users
You may grant access to Authorised Users within the limits of your subscription plan. You are responsible for ensuring that all Authorised Users comply with this Agreement and you remain liable for their use of the Service.
4.4 Age and Eligibility
You must be at least 18 years of age and legally capable of entering into a binding contract under the laws of England and Wales to use the Service.
5.1 Plan Selection
The Service is available on Monthly and Annual Plans. Current pricing for each plan is available at taxnav.digital/pricing. Prices are displayed inclusive of VAT where applicable.
5.2 Free Trials
We may, at our discretion, offer a free trial period. During a free trial you will have access to the Service as specified in the trial offer. No Subscription Fee is charged during the free trial period. At the end of the free trial, your subscription will automatically convert to a paid plan unless you cancel before the trial ends.
5.3 Billing
• Monthly Plans are billed monthly in advance on the anniversary of your subscription start date.
• Annual Plans are billed upfront in full for the entire 12-month term at the point of purchase.
• Payment is processed via our payment provider (Stripe). By subscribing you authorise us to charge your chosen payment method for the applicable Subscription Fees.
• If a payment fails, we will notify you and may suspend access to the Service until payment is received. We reserve the right to retry payment collection at reasonable intervals.
5.4 Price Changes
We may change Subscription Fees at any time. For Monthly Plan customers, we will provide at least 30 days' written notice before any price increase takes effect. For Annual Plan customers, any price change will apply only from the start of your next annual renewal. Your continued use of the Service after the effective date of a price change constitutes acceptance of the new fee.
5.5 Taxes
Subscription Fees are inclusive of UK VAT where applicable. You are responsible for any other applicable taxes, duties, or levies arising from your purchase of the Service.
Monthly Plans can be cancelled at any time. Annual Plans can be cancelled at any time but are billed upfront for a 12-month term and are non-refundable.
6.1 Monthly Plans
You may cancel a Monthly Plan subscription at any time by logging in to your Account and following the cancellation steps, or by contacting support@taxnav.digital. Cancellation takes effect at the end of your current billing month. You will retain access to the Service until that date and will not be charged for any subsequent billing period. No partial-month refunds are issued.
6.2 Annual Plans
Annual Plans are billed upfront for a full 12-month term. You may cancel an Annual Plan at any time via your Account settings or by contacting support@taxnav.digital; however, the Subscription Fee is non-refundable except as set out in clause 6.4 below. Upon cancellation, you will retain access to the Service until the end of the 12-month period you have paid for, after which your subscription will not renew.
6.3 Renewal
Unless cancelled in accordance with this clause, subscriptions renew automatically at the end of each Term. Annual Plans renew for a further 12-month period at the then-current Annual Plan fee. We will send a renewal reminder by email at least 14 days before your Annual Plan is due to renew, giving you the opportunity to cancel or change your plan before the renewal date.
6.4 Exceptions and Statutory Rights
Notwithstanding clause 6.2, we will provide a refund or remedy in the following circumstances:
• The Service has a material defect or is not as described, in accordance with the Consumer Rights Act 2015 (if you are a consumer).
• We are in material breach of this Agreement.
• We terminate the Service permanently or withdraw it from the market.
Nothing in this Agreement affects your statutory rights under applicable UK law.
6.5 How to Cancel
To cancel your subscription, you may: (a) use the cancellation option in your Account settings; or (b) contact us at support@taxnav.digital. We will confirm cancellation by email within 2 business days.

You agree to use the Service only for lawful purposes and in accordance with this Agreement. You must not:
• Use the Service in any way that violates any applicable law or regulation, including HMRC rules and MTD IT requirements.
• Submit false, inaccurate, or misleading information to HMRC through the Service.
• Attempt to gain unauthorised access to any part of the Service or its underlying systems.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Service.
• Use automated means (bots, scrapers, crawlers) to access the Service in a manner that exceeds normal usage.
• Resell, sublicense, or otherwise provide access to the Service to third parties without our prior written consent (except for accounting practices operating under a TaxNavHQ partner agreement).
• Upload or transmit any malicious code, viruses, or other harmful material.
• Engage in any conduct that disrupts or degrades the performance of the Service.
We reserve the right to suspend or terminate your Account immediately if we reasonably believe you are in breach of this clause.
8.1 Our IP
The Service, including all software, algorithms, designs, content, trademarks, and the "Navi" character, is the exclusive property of MTD Software Limited or its licensors. All rights are reserved. Nothing in this Agreement transfers any intellectual property rights to you.
8.2 Licence to You
Subject to your compliance with this Agreement and payment of applicable Subscription Fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service during the Term for your own internal business purposes.
8.3 Your Data
You retain ownership of all data, content, and information you submit to the Service ("Customer Data"). You grant us a limited licence to process, store, and use Customer Data solely to the extent necessary to provide the Service and as described in our Privacy Policy.
8.4 Website Content
All content on our website (taxnav.digital) is copyright MTD Software Limited unless otherwise stated. You may not copy or reuse any website content without our express written permission.
Processing of Personal Data in connection with the Service is governed by our Privacy Policy, available at taxnav.digital/privacy-policy, which is incorporated into this Agreement by reference.
9.1 Controller and Processor
Where we process Personal Data on your behalf in order to provide the Service (for example, the data of your clients if you are an accounting practice), we act as a Data Processor, and you act as the Data Controller. In such cases, the terms of our Data Processing Addendum (available on request) apply and form part of this Agreement.
9.2 Our Obligations
We will process Personal Data only in accordance with your documented instructions and applicable Data Protection Legislation. We maintain appropriate technical and organisational measures to protect Personal Data against unauthorised access, loss, or disclosure.
9.3 Your Obligations
You warrant that you have a lawful basis for providing any Personal Data to us and that you have provided all necessary notices and obtained all necessary consents required under Data Protection Legislation.
9.4 HMRC API Credentials
You authorise TaxNav to act as your agent for the purposes of connecting to HMRC's MTD IT API on your behalf. You remain solely responsible for the accuracy of all information submitted to HMRC via the Service.
Each party agrees to keep confidential all Confidential Information of the other party and not to disclose it to any third party without the other party's prior written consent, except: (a) as required by law or a regulatory authority; (b) to professional advisers under equivalent confidentiality obligations; or (c) as strictly necessary to perform obligations under this Agreement. This obligation survives termination of this Agreement for a period of five years.
11.1 Our Warranties
We warrant that: (a) we have the right to grant the licence in clause 8.2; (b) the Service will perform materially as described in our documentation; and (c) we will take reasonable steps to ensure the Service is available 99% of the time in any calendar month (excluding scheduled maintenance, force majeure events, and factors outside our reasonable control).
11.2 Disclaimer
Except as expressly set out in this Agreement and to the maximum extent permitted by applicable law, the Service is provided "as is" and "as available". We disclaim all warranties, express or implied, including without limitation any implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
We do not warrant that: (a) the Service will be uninterrupted or error-free; (b) defects will be corrected; or (c) the Service will meet your specific requirements. You are responsible for verifying that all data submitted to HMRC via the Service is accurate and complete.
12.1 Exclusion of Consequential Loss
To the maximum extent permitted by law, neither party shall be liable to the other for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, loss of revenue, loss of data, or loss of goodwill, arising out of or in connection with this Agreement or the use of the Service, even if advised of the possibility of such damages.
12.2 Cap on Liability
Subject to clause 12.3, our total aggregate liability to you arising out of or in connection with this Agreement (whether in contract, tort, negligence, breach of statutory duty, or otherwise) shall not exceed the total Subscription Fees paid by you to us in the 12 months immediately preceding the event giving rise to the claim.
12.3 Exceptions
Nothing in this Agreement limits or excludes liability for: (a) death or personal injury caused by our negligence; (b) fraud or fraudulent misrepresentation; (c) any other liability that cannot be excluded or limited under applicable law, including under the Consumer Rights Act 2015 where you are a consumer.
You agree to indemnify, defend, and hold harmless MTD Software Limited and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use of the Service in breach of this Agreement; (b) any inaccuracy in data or information you submit via the Service; or (c) your violation of any applicable law or regulation.
14.1 Term
This Agreement commences on the date you create an Account or accept these terms and continues until your subscription expires or is terminated in accordance with this clause.
14.2 Termination for Breach
Either party may terminate this Agreement with immediate effect upon written notice if the other party: (a) commits a material breach of this Agreement that is incapable of remedy; (b) commits a material breach that is capable of remedy but fails to remedy it within 14 days of written notice to do so; or (c) becomes insolvent, makes an arrangement with creditors, or has an administrator or liquidator appointed.
14.3 Our Right to Suspend or Terminate
We may suspend or terminate your Account with immediate effect if: (a) we reasonably suspect fraudulent or illegal activity; (b) your use of the Service poses a security risk to us or other users; (c) you are in breach of clause 7 (Acceptable Use); or (d) a payment is more than 14 days overdue.
14.4 Effect of Termination
Upon termination or expiry of this Agreement: (a) the licence granted in clause 8.2 will immediately cease; (b) you must cease all use of the Service; and (c) we will retain your Customer Data for 90 days following termination to allow you to export it, after which we may delete it. Clauses 8, 9, 10, 12, 13, 15, and 16 shall survive termination.
We will use commercially reasonable efforts to make the Service available 24 hours a day, 7 days a week. We may carry out scheduled maintenance from time to time and will endeavour to provide at least 24 hours' notice via email or in-Service notification. We shall have no liability for unavailability caused by: (a) HMRC API outages or changes; (b) your equipment or internet connection; (c) third-party services beyond our control; or (d) force majeure events.
The Service may integrate with or link to third-party services (including HMRC's MTD IT APIs, Stripe for payment processing, and third-party accounting software). We are not responsible for the availability, accuracy, or performance of third-party services and your use of them is subject to their own terms and conditions. We are an HMRC-recognised software provider; this recognition does not imply endorsement of TaxNav by HMRC.
We may update this Agreement from time to time. Where a change is material, we will notify you by email at least 30 days before it takes effect. Your continued use of the Service after the effective date of the revised Agreement constitutes your acceptance of the changes. If you do not accept the revised Agreement, you may cancel your subscription in accordance with clause 6 before the changes take effect.
The most current version of this Agreement will always be available at taxnav.digital/terms-and-conditions.
18.1 Entire Agreement
This Agreement, together with our Privacy Policy and any applicable Data Processing Addendum, constitutes the entire agreement between you and us regarding the Service and supersedes all prior agreements and understandings relating to its subject matter.
18.2 Assignment
You may not assign or transfer any of your rights or obligations under this Agreement without our prior written consent. We may assign this Agreement (in whole or in part) to any affiliate or in connection with a merger, acquisition, or sale of assets, provided this does not materially prejudice your rights.
18.3 Waiver
Failure by either party to enforce any right under this Agreement shall not be construed as a waiver of that right.
18.4 Severability
If any provision of this Agreement is found to be invalid, illegal, or unenforceable, it shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.
18.5 Force Majeure
Neither party shall be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including acts of God, natural disasters, pandemic, war, government action, or failure of third-party infrastructure. This clause does not apply to payment obligations.
18.6 Notices
Notices to us should be sent to: legal@taxnav.digital or in writing to the registered office of MTD Software Limited. Notices to you will be sent to the email address associated with your Account.
18.7 Governing Law and Jurisdiction
This Agreement is governed by the laws of England and Wales. Each party irrevocably submits to the exclusive jurisdiction of the courts of England and Wales in relation to any dispute or claim arising out of or in connection with this Agreement, its subject matter, or formation.
